BasWare CORP. STOCK EXCHANGE RELEASE SEPTEMBER 10, 2007
BasWare Corporation ('BasWare') has today agreed on an acquisition of the entire share capital of Digital Vision Technologies Ltd ('Digital Vision'). The acquisition price amounts to approximately EUR 9.2 million and will be paid in cash in two parts. A total of EUR 9 million was paid in conjunction with the completition of the acquisition. The remainder will be determined by Digital Vision's net assets on the Interim Financial Statements on August 31, 2007 and will be paid by the beginning of October 2007. The acquired company is owned by local investors and the current management of the company that will also continue to be employed by the company. The company's net assets totaled over EUR 1 million at the end of the fiscal year, ending on March 31, 2007 and it is estimated that there has been no substantial change to those by the time of the acquisition. The acquisition increases BasWare's net sales by approximately EUR 2 million in 2007. |
